Chatham Partners advises Arcus on the acquisition of German submetering provider Officium
Led by its partners Dr. Rüdiger Zeller and Felix Fischer, Chatham Partners advised Arcus Infrastructure Partners (Arcus) on the acquisition of the German submetering provider Officium Holding GmbH (Officium) by the fund Arcus European Infrastructure Fund 3 SCSp. Officium was acquired from EMERAM, a Munich-based Growth Buyout Investor for midcap companies in the German speaking regions.
Officium provides long-term rental of submetering equipment and related services for the measurement of heat and water consumption within multi-dwelling properties in Germany. The portfolio consists of over one million submetering devices which are leased on a long-term basis to building owners and property managers.
Chatham Partners comprehensively advised Arcus throughout the entire transaction, in particular on the due diligence as well as on the transaction agreements and on the merger control. The legal advice also covered the management participation of the CEO of Officium who will remain in office and support Officium’s further development.
