Chatham Partners advises terralayr on complete acquisition of BBD Big Battery Deutschland (BBD)

Chatham Partners has provided comprehensive advice to terralayr, a leading operator and provider of large-scale storage solutions in Germany, on the complete acquisition of BBD BigBattery Deutschland GmbH (BBD). Having been involved in BBD since its inception, terralayr has now acquired the shares of the previous co-partner, thereby strengthening its greenfield development capacities for large-scale battery projects in Germany.

A team led by Malte Bever and Carina Schulte-Lübberding was responsible in particular for the legal structuring of the transaction, the negotiation of the purchase agreement, the termination of the previous joint venture structure between terralayr and the Averdung Group, and also advised on tax aspects of the acquisition.

With the full acquisition of BBD, terralayr is integrating an experienced greenfield development team with proven expertise in site acquisition, approval procedures, grid connection processes, and project structuring. The transaction secures terralayr direct control over a project pipeline of more than 1 GW and strengthens the company's position in the German BESS market. The project pipeline will be managed via terralayr's LAYR software platform, which virtualizes flexibility and enables participation in balancing energy markets, the wholesale market, and virtual battery auctions.
